The AV3, Inc. team, comprised of certified Engineers and Technicians, provides specialized Audio-Visual (AV) support and customized products to the Naval Air Warfare Center Aircraft Division (NAWCAD), Patuxent River, MD Special Communications Mission Systems (SCMS); the Intelligence Community (IC); the Secret Service; and all branches of our Military. In addition, we provide the same level of expertise to premier Commercial Customers.

Our knowledge of these communities allows AV3, Inc. to develop and integrate systems that are user centric and focused on end user requirements.

As a certified Veteran-Owned Small Business (VOSB), we can assist in meeting many contracting and subcontracting targets. Under the Veterans Entrepreneurship and Small Business Development Act of 1999, federal agencies are encouraged to provide support for small businesses formed by those who have previously served. AV3, INC has been certified by the Department of Veterans Affairs.

In response to declining budgets, the Naval Sea Systems Command (NAVSEA) and its Warfare Centers, which are responsible for the acquisition of all U.S. Navy ships and shipboard systems, targeted a reduction in the cost of services for its headquarters’ Directorates, Program Executive Offices (PEO’S), and field activities.

As the first major step towards achieving this goal, NAVSEA embarked on a business process re-engineering effort to maximize the efficiency and economy of support service procurement.

This Purchase Order (Order) has been placed in support of a US Government contract and the following flow down provisions are applicable.  The FAR/DFARS clauses referenced below are incorporated herein by reference, with the same force and effect as if they were given in full text, and are applicable, including any notes following the clause citation, during the performance of this Order. The date of the clause is the clause in effect as of the date of the Purchase Order.

This Contract is entered into by AV3, Inc. (Buyer) and Seller in support of a US Government contract. As used in the clauses reference below and otherwise in this Order:

  1. “Contract” means this Order.
  2. “Contractor” shall mean Seller.
  3. “Prime Contract” means the contract between Buyer and the US Government or between Buyer and its higher-tier contractor in support of a contract with the US Government.
  4. “Subcontract” means any contract placed by Seller.
A. 52.244-6 Subcontracts for Commercial Products and Commercial Services
(a) Definitions. As used in this clause—

Commercial product, commercial service and commercially available off-the-shelf item have the meanings contained in Federal Acquisition Regulation (FAR) 2.101.

Subcontract includes a transfer of commercial products or commercial services between divisions, subsidiaries, or affiliates of the Contractor or subcontractor at any tier.

(b) To the maximum extent practicable, the Contractor shall incorporate, and require its subcontractors at all tiers to incorporate, commercial products, commercial services, or non-developmental items as components of items to be supplied under this contract.

(c)

(1) The Contractor shall insert the following clauses in subcontracts for commercial products or commercial services:

(i) 52.203-13, Contractor Code of Business Ethics and Conduct (Nov 2021) ( 41 U.S.C. 3509), if the subcontract exceeds the threshold specified in FAR 3.1004(a) on the date of subcontract award, and has a performance period of more than 120 days. In altering this clause to identify the appropriate parties, all disclosures of violation of the civil False Claims Act or of Federal criminal law shall be directed to the agency Office of the Inspector General, with a copy to the Contracting Officer.
